Amendment No. 1 to the Form 10-K for fiscal year ended December 31, 2000

    This Amendment No. 1 to the Form 10-K for the fiscal year ended December 31, 2000 for ON Semiconductor Corporation amends our original Form 10-K filed on March 30, 2001. The amended report is filed in order to include an exhibit index immediately preceding the exhibits, which were filed as part of our original Form 10-K. Our original Form 10-K did include an exhibit index in Part IV, Item 14(c), however, due to a clerical error by our filing agent a second exhibit index did not immediately precede the exhibits as required by Regulation S-K, Item 601 (a)(2). The pages that follow include the "Exhibit Index."
